2020 BookExpo Bestsellers Program Agreement

This 2020 BookExpo Bestsellers Program Agreement (the “Agreement”) sets forth the terms and conditions of the 2020 BookExpo Bestsellers Grant Program (the “Program”) of BookExpo America 2020 (the “Show”) wherein Bookseller (as defined herein) shall be provided with certain Benefits (as defined herein) in connection with their participation in and completion of the Program Requirements (as defined herein).

BASIC RULES AND REQUIREMENTS
Reed Exhibitions, a division of RELX Inc. (and their respective officers, agents and employees) are hereinafter collectively referred to as “BookExpo Management”. The Program is a collaboration between BookExpo Management and the American Booksellers Association (the “ABA”).

As a condition of receiving the Benefits (as defined herein) provided by BookExpo Management, the Bookseller must fulfil the following requirements in connection with the Show (the “Requirements”):

  • Bookseller must be an ABA member in good standing;
  • Arrive and check in on-site at the Show between Wednesday, May 27th – Friday, May 29th 2020;
  • Attend one (1) Meet the Editor office visit on Wednesday, May 27th, 2020, a publishing house tour around New York City, which is assigned and facilitated by ABA;
  • Check in at the ABA member lounge during business hours on each day of the Show: May 27th, May 28th, and May 29st, 2020 (the “Show Dates”);
  • Attend at least one (1) session of Publicity Speed Dating;
  • Attend at least one (1) session of Editor Speed Dating;
  • Attend Happy Hour Author Signing;
  • Compliance with the terms of this Agreement, including, but not limited to the Confidentiality provisions set forth herein requiring that Bookseller not disclose to or discuss with third parties the details of the Benefits. 

By accepting the Benefits, the Bookseller agrees to the Requirements set forth above and consents under all relevant data protection legislation and laws to BookExpo Management communicating with the Bookseller by telephone, fax, email and by mail and hereby authorizes and permits BookExpo Management to share Bookseller’s personal information, as provided to BookExpo Management with such exhibitors, vendors, companies, and entities with which Bookseller scans their badge at the Show or otherwise utilizes the on-site or web-enabled technologies, including but not limited to on-site Wi-Fi, on-site interactive kiosks, wearable beacon technology and/or RFID technology, and any mobile applications associated with the Show.

BookExpo Management may use the Bookseller’s information to invite the Bookseller to other events organized by BookExpo Management or its affiliates or to offer Bookseller other relevant products and services supplied by BookExpo Management.

TERMS & CONDITIONS
Bookseller will receive from BookExpo Management the following benefits (collectively, the “Benefits”):

  1. Complimentary hotel accommodations for up to three (3) nights between Tuesday, May 26th – Friday, May 29th. Hotel to be determined by BookExpo.
  2. Voucher in the amount of $150 to be used to place orders with any of our UnBound exhibitors on the show floor during show floor hours (Thursday, May 28th and Friday, May 29th)
  3. Subject to the terms of the BookExpo America 2020 Attendee Terms and Conditions (the “Attendee T&Cs”), entry to the Show, including “UnBound at Book Expo”; and
  4. Entry to official Show networking events.

Failure of the Bookseller to comply with the Requirements may result in a loss of the Benefits. BookExpo Management will not be responsible for any costs incurred by any person participating in the Program. Bookseller’s attendance at and participation in the Show is the essence of the Agreement and failure to attend the Show on each Show Date will result in forfeiture of the Benefits. The Bookseller is solely responsible for any and all taxes payable in connection with the Benefits. Consult a tax professional to determine tax liability; BookExpo Management is not allowed to give tax advice.

The Benefits do not include any travel expenses, personal expenses, or any other costs not specifically described herein and any such costs will be the sole responsibility of the Bookseller. If the Bookseller is unable or unwilling to accept or participate in any part of the Requirements, the Benefits will be deemed as forfeited and no substitution will be made except at BookExpo Management’s sole discretion.

The Benefits are not transferable. Should the Bookseller fail to adhere to any Requirements or other instructions from BookExpo Management, violate the Attendee T&Cs, or engage in unruly, obnoxious, illegal, threatening, or otherwise inappropriate behavior at the Show (as determined by BookExpo Management in their sole discretion), BookExpo Management reserves the right, without further notice or warning, to terminate the Bookseller’s participation in the Program and/or Bookseller’s attendance at the Show, in whole or in part, and/or take other actions in accordance with and subject to the Attendee T&Cs.

The Bookseller acknowledges and agrees that all information shared, revealed, obtained, or developed in the course of the Program shall be considered as confidential and shall not be disclosed to any third party with the prior consent of BookExpo Management; provided that the Bookseller may disclose such confidential information, to the extent required, if required by law or for tax purposes.

Exclusion of Liability
BookExpo Management shall not be liable for loss, damage or delay resulting from acts or threats of war, hijack, terrorist activity, civil commotion, industrial disputes, fuel shortages, natural disasters or adverse weather conditions, strikes or lockouts intervention or regulation, military activity, epidemic, World Health Organization travel advisory or travel alert, or any other circumstances outside BookExpo Management's or its subcontractor’s control which shall make it impossible or inadvisable for BookExpo Management to hold the Show at the time and place provided or makes it impossible to get the Booksellers to or from the Show or to provide flights, hotels, transfers, appointments, events or other services to Booksellers. BookExpo Management reserves the right to re-schedule the Show at another date and/or at an alternative site.

By participating in the Program, the Bookseller hereby releases and holds harmless BookExpo Management and ABA from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever, including without limitation, property damage, personal injury (including emotional distress), and/or death, which may occur in connection with preparation for, or participation in, the Program, possession, acceptance and/or use or misuse of the Benefits or participation in any Program-related or Benefits-related activity and/or for any claims or causes of action of any kind arising from or relating to Bookseller’s attendance of the Show and/or participation in the Program. The Bookseller acknowledges that BookExpo Management has neither made nor is in any manner responsible or liable for any warranty, representations or guarantees express or implied, in fact or in law, relative to the Benefits.

NEITHER BOOKEXPO MANAGEMENT NOR ABA SHALL BE LIABLE TO THE BOOKSELLER IN CONTRACT OR OTHERWISE FOR ANY LOSS OF PROFIT, LOSS OF BUSINESS OR REVENUE, LOSS OF ANTICIPATED SAVINGS OR ANY INDIRECT OR CONSEQUENTIAL OR INCIDENTAL OR SPECIAL OR EXEMPLARY LOSS OR DAMAGE, COSTS OR EXPENSES ARISING OUT OF OR IN CONNECTION WITH THE BOOKSELLER’S ATTENDANCE AT THE SHOW OR PARTICIPATION IN THE PROGRAM. BOOKEXPO MANAGEMENT’S TOTAL LIABILITY TO BOOKSELLER UNDER THIS AGREEMENT SHALL NOT EXCEED ONE THOUSAND u.S. DOLLARS ($1,000).

NO ACTION ARISING OUT OF OR IN CONNECTION WITH THE BOOKSELLER’S ATTENDANCE AT THE SHOW MAY BE BROUGHT BY EITHER PARTY MORE THAN TWO YEARS AFTER SUCH CAUSE OF ACTION ACCRUES.

The laws of the State of New York, without reference to the conflicts of laws provisions thereof, govern the Bookseller Program and all aspects related thereto.

By signing this Agreement, the person(s) completing this Agreement expressly represents and warrants to BookExpo Management that he or she: (1) is duly authorized to execute this Agreement on behalf of the Bookseller named below and that they (or the company they work for) are a current member in good standing of ABA.; (2) has read, fully understands, and accepts the terms and conditions of this Agreement; and (3) understands that, upon acceptance of this Agreement by BookExpo Management, the Bookseller agrees with and shall be bound by and subject to the terms of the BookExpo America 2020 Attendee Terms and Conditions, which are attached hereto and incorporated herein by reference. A notification email sent to the email address provided herein by BookExpo Management shall constitute acceptance by BookExpo Management and a binding agreement between BookExpo Management and Bookseller.
